Terms of Service

These terms cover use of the bergitup.com website and the general terms that apply to Bergit, LLC's consulting and build work. By using this site, you agree to them.
Client agreements come first
Every client engagement runs on a signed Statement of Work. That document controls. It sets the scope, fees, payment schedule, ownership, and license for that specific project, and it takes precedence over anything on this page. What follows is a plain summary for anyone deciding whether to get in touch, not a replacement for the agreement you would sign.
Services
Bergit, LLC provides consulting and build services for expert-led firms, including content and publishing systems, lead systems, workflow automation, and custom software. Scope, deliverables, and pricing are agreed in writing before work begins.
Payment
Start with Berg is paid in full upfront. Larger builds are split, usually half at kickoff and half on final delivery. Ongoing support is billed monthly against a first term set in the Statement of Work. Overdue accounts may pause work until payment is received.
Cancellation and refunds
Start with Berg may be cancelled within 48 hours of payment for a full refund. For larger builds, what is refundable depends on how far the project has gotten, and those specifics are set in the Statement of Work rather than here. Payment for work already performed is not refundable.
Ownership and license
On full payment, the deliverables from an engagement are yours. Pages, content, code, and custom builds transfer to you.
Bergit keeps ownership of the systems used to produce that work, meaning the skill files, prompts, workflows, quality gates, scripts, templates, and integrations that make up a Bergit engine. When an engagement includes one, you get a license to run it inside your own business. What that license does and does not allow is set out in full in the Statement of Work.
Third-party tools and accounts
Some work depends on third-party services, including publishing tools, AI and development tools, data services, hosting, and domains. Bergit specifies what is needed and handles setup and configuration. You hold those accounts and pay those fees directly, and each service stays subject to its own terms.
AI output and results
The work uses generative AI. AI output can contain errors and needs review before you publish it or rely on it, and you are responsible for what you ultimately publish.
Bergit does not guarantee any specific outcome, including search rankings, AI citations, traffic, engagement, leads, or revenue. Results described on this site are what happened on specific projects, and they depend on platforms, algorithms, and market factors outside anyone's control.
Publicity
Bergit may describe client work in its portfolio, case studies, and marketing with the client's written consent, and clients may review that material before it is published. Consent can be withdrawn for future use at any time.
Limitation of liability
Neither party is liable for indirect, incidental, special, or consequential damages. Total liability connected to an engagement is capped at the amount paid for that engagement. Those limits do not cover a breach of confidentiality, a client's indemnification obligations under a signed Statement of Work, or liability that cannot be limited under applicable law.
Governing law
These terms and Bergit's engagements are governed by the laws of the State of California. Disputes start with a good-faith conversation, then non-binding mediation. Anything still unresolved goes to the state or federal courts in San Diego County, California.
Website content
The writing, images, and code on bergitup.com belong to Bergit, LLC unless credited otherwise. You are welcome to quote from it or link to it with attribution.
Changes to these terms
These terms may change. The effective date above reflects the current version, and changes do not apply retroactively to a Statement of Work already signed.
